Walton Hi-Tech Industries PLC has advanced its merger process with Walton Digi-Tech Industries Limited following a directive from the High Court Division of the Supreme Court of Bangladesh, marking a new phase in the proposed consolidation.
The court issued procedural instructions on 3 April in Company Matter No. 318/2026, while the 50th board meeting of Walton Hi-Tech held on 11 April set the next timeline, the company said in a price sensitive information disclosure.
4 May has been fixed as the record date for shareholder approval, while an extraordinary general meeting will be held on 21 May on a digital platform. The process will also require consent from creditors, alongside approvals from regulators and the High Court Division.
The merger initiative dates back to 3 September 2025, when Walton Hi-Tech and Walton Digi-Tech signed a memorandum of understanding, which was approved at Walton Hi-Tech’s 46th board meeting on the same day.
Stakeholders expect the merger to strengthen Walton Hi-Tech’s product portfolio by integrating Walton Digi-Tech’s range of 123 high-tech products, including laptops, computers, printers, mobile phones, printed circuit boards and electric bikes.
Walton Digi-Tech operates the country’s only mobile phone and PCB manufacturing plants, and its inclusion is seen as a move that could expand market reach, improve operational efficiency and lower costs.
Financially, both companies reported solid performance for the year ended June 30, 2025. Walton Digi-Tech recorded paid-up capital of Tk30 crore, net revenue of Tk915.80 crore and profit after tax of Tk4.09 crore.
Walton Hi-Tech reported paid-up capital of Tk302.93 crore, net revenue of Tk7,082.25 crore and profit after tax of Tk1,036.62 crore over the same period.
Walton Hi-Tech manufactures and exports a broad range of electrical and home appliances, including refrigerators, compressors, air conditioners, televisions, elevators, fans, cables and washing machines.
Industry participants say Walton Digi-Tech has built a strong presence in local and international markets as a manufacturer and exporter of IT-based products, and its integration is expected to support Walton Hi-Tech’s expansion and investor returns.
