ICSB backs stricter IPO rules

Stronger exchange oversight, tighter due diligence and market-driven pricing under the Public Offer of Equity Securities Rules, 2025, will help improve transparency and investor confidence in Bangladesh’s capital market, speakers said at a discussion organised by the Institute of Chartered Secretaries of Bangladesh (ICSB).

The discussion centred on how the revised rules reshape the initial public offering framework through dual approval, structured price discovery, improved valuation methods and exchange-led review mechanisms, with participants saying the changes are necessary to strengthen governance and support sustainable growth of the market.

Bangladesh Securities and Exchange Commission Commissioner Md Saifuddin said the updated rules aim to create a more transparent, fair and efficient public offer regime, with stronger exchange control, digital processes and tighter compliance to reinforce market discipline and protect investors.

He said empowering the stock exchange and ensuring rigorous scrutiny of issuers are critical to restoring confidence in the IPO market.

Dhaka Stock Exchange PLC Deputy General Manager and Acting Chief Regulatory Officer Mohammad Shafiqul Islam Bhuiyan presented the keynote paper, outlining how multi-method valuation, enhanced accountability and exchange-led scrutiny will affect issuing companies and market intermediaries in practice.

Panel discussants stressed that closer coordination among regulators, exchanges and market institutions is essential to ensure effective implementation of the rules, prevent governance gaps and promote fair participation.

The discussion was held on Saturday at the Bangladesh Institute of Management auditorium in Dhaka and brought together regulators, exchange officials, merchant bankers, brokers and business leaders.

Dhaka Stock Exchange PLC Director Minhaz Mannan Emon, Metropolitan Chamber of Commerce and Industry President Kamran T Rahman, Bangladesh Merchant Bankers Association President Iftekhar Alam and DSE Brokers Association of Bangladesh Vice President Md Nafeez Al Tarik attended as special guests.

ICSB President Hossain Sadat said the revised public offer rules mark a significant step in strengthening capital market governance and welcomed the regulator’s move to modernise the framework.

The panel and floor discussion sessions were moderated by ICSB Council Member M Nurul Alam, with participants agreeing to assist each other in disseminating information on the new rules and supporting their effective application.

The discussion concluded with an interactive question-and-answer session, followed by a vote of thanks delivered by ICSB Seminar and Conference Sub Committee Chairman Mohammed Showket Iqbal.
