The Bangladesh Securities and Exchange Commission (BSEC) has approved the draft of the ‘Bangladesh Securities and Exchange Commission (Public Offer of Equity Securities) Rules, 2025,’ aimed at enhancing transparency and accountability in the Initial Public Offering (IPO) approval process.

The decision was made during the 977th commission meeting held today at the BSEC conference room in the capital, chaired by BSEC Chairman Khondoker Rashed Maqsood.

This new draft regulation will replace the existing ‘Bangladesh Securities and Exchange Commission (Public Issue) Rules, 2015.’ The move aligns with the recommendations made by the Capital Market Reform Task Force, which sought to overhaul the IPO approval process to address concerns around fairness and transparency.

As part of the initiative to ensure stakeholder involvement and public transparency, the draft rules will be published in newspapers and made available on the commission’s official website for public feedback and verification. This step aims to foster greater engagement from market participants and the public in the rule-making process.

The proposed rules are designed to improve the accountability and transparency of the IPO approval process. Under the new mechanism, BSEC will provide final IPO approval based on recommendations from the relevant stock exchange, ensuring a more streamlined and responsible process for market participants.
